[members] update on Parrot Foundation status

i agree with you allison, and the others that have spoken on this topic,
that the parrot foundation board and membership needs to wind down or
transform the foundation as soon as possible. we are required to complete
these activities before the end of 2013.

or or before monday, 22 april, i will send out a statement to the board
detailing status of our current efforts and my opinion on the best option
moving forward. i will give the board three days to return comment before i
release the revised assessment and recommendations to the membership or or
before friday, 26 april.

with a clear vision and a solid plan, we can swiftly accomplish our goals
to keep parrot's assets protected, cultivate the community, and support the
development of parrot and its ecosystem long after parrot foundation ceases
to exist in its current form.

as a footnote, i'd like to clear up what i believe is a dangerous
mischaracterization of events related to pafo's 2012 tax filing:

my filing it wasn't "the very last minute" as you describe, and absolutely
nowhere near "gross negligence". it was determined by me and the accounting
firm for pafo in february/march that parrot qualified for the 990N return
in 2012. i did not realize the board did not get a copy of that thread, and
even if they had, you wouldn't have been aware of that since you're no
longer on the board or the board mailing lists.

990N is a form submitted annually to the IRS informing them that parrot
foundation is a small, non-profit entity, and still is operating. based on
parrot foundation's fiscal year-end date of 31 december, the 990N is due on
15 may of the following year. it is not due on 15 april, which is the due
date for those filing individual tax returns with the IRS in the USA. the
pafo 990N was filed well before the required date. late filing (which isn't
ever a good idea) is not penalized until after three years of missed
filings (see http://goo.gl/03z1F for more), so parrot would not have been
in "deep trouble" with the IRS for the missed deadline.

if, on the other hand, parrot did not qualify for 990N in 2012, the
corporate filing (and payment) would have been due on 15 march, so by the
time the proper documentation had been filed this year (11 april), it would
have been too late by almost a month. i've said this before and i'll repeat
it in a more public forum here: this was never a problem, as pafo meets the
qualifications for submitting a 990N for 2012.
